The license you are granting to us under this Agreement shall remain in effect for an initial term of one (1) year (the “Term”). There will be no automatic contract renewal term unless otherwise specified in writing by yourself. Notwithstanding the foregoing, both parties have right to immediate termination in a case of material breach or lost of trust by either party. You represent and warrant to us that: a. You own all proprietary rights in your sound recordings. b. There are no restrictions against your granting the rights to us that you are granting hereunder; c. The artists, producer, and engineers who have contributed to your sound recordings have all assigned any and all copyrights in your sound recordings to you in writing and that you indemnify the licensee against any third party claim.
